These Terms of Service (“Terms”) govern your access to and use of the eInvoice Malaysia Zoho Books Extension (referred to in our marketing materials as the “Plugin”) provided by Ooroboros Sdn. Bhd. (“we,” “our,” or “us”). The term “Plugin” is used in our marketing to visually and simply explain how the Extension integrates with Zoho Books for layman understanding. Officially, in alignment with Zoho Marketplace terminology, this product is referred to as an “Extension.” By installing or using the Extension, you agree to these Terms. If you do not agree, do not use the Extension.

I.  Purpose 

The eInvoice Malaysia Zoho Books Extension enhances Zoho Books’ capabilities to comply with Malaysia’s Inland Revenue Board (“IRBM”) requirements. It enables Zoho Books users to submit mandatory data to IRBM’s MyTax and MyInvois portals directly within Zoho Books.

II.  Eligibility 

To use this Extension, you must:

  1. Have access to your organization’s MyTax Portal and MyInvois Portal (both pre-production and live environments) or ensure someone in your organization has such access. This access is required to generate the Client ID and Client Secret necessary for authorizing Zoho Books to utilize IRBM’s MyTax Portal API, which is generated within your MyTax Portal account.
  2. Possess administrative rights to a Zoho Books Premium account. If you are not already using Zoho Books Premium, you must upgrade to Zoho Books Premium to utilize the Extension.

III.  Subscription and Payment 

  1. The Extension is available via a yearly subscription of RM288 per organization, exclusive of Service Tax when and where applicable
  2. Payments are non-refundable, including partial or prorated refunds, regardless of subscription termination before the year ends.
  3. Failure to renew the subscription will result in termination of access after a 15-day grace period.
  4. Subscription payments can only be made via authorized channels provided in Zoho Marketplace.

IV.  User Data 

  1. The Extension collects your Zoho Books user email and Zoho Books Organization ID to track installations and assist with customer support.
  2. By using the Extension, you consent to the collection and use of this data in accordance with our Privacy Policy.

V.  Third-Party Dependencies 

The Extension relies on the following third-party services and their limitations:

  1. Zoho Services:
    • The Extension interacts with APIs provided within Zoho Books Premium, which includes:
      • 10,000 API calls per day: Users are allocated up to 10,000 API credits daily, used for both reading and writing data in Zoho Books.
      • Soft limit of 10 concurrent API calls: A maximum of 10 API requests can be processed simultaneously for each organization.
    • For more details on Zoho Books’ API Call Limits, refer to their API Documentation.
    • Examples of API Usage:
      • Invoice submission: 6 API calls per invoice.
      • Credit note submission: 6 API calls per credit note.
      • Refund note submission: 5 API calls per refund note.
      • Recurring invoice submission: 6 API calls per recurring invoice.
      • Debit note submission: 6 API calls per debit note.
      • Accessing related lists in invoices: 1 API call per access.
      • Global Fields Widget:
        • Opening the widget: 12 API calls.
        • Saving changes in the widget: 12 API calls.
    • Daily Usage Example: With a Zoho Books Premium subscription, the Extension can support approximately 1,000 invoice submissions per day, assuming 6,000 API calls are used for invoices and the remaining 4,000 API calls are allocated for related lists and global fields.
    • Important Disclaimer: API call limits and concurrent request limits are determined by Zoho Books. Changes to Zoho’s plans or packages, including API limits, are outside our jurisdiction. Users are advised to monitor their usage and consider these limits before proceeding with their subscription.
  2. IRBM APIs:
    • The Extension interacts with the APIs provided by IRBM’s MyTax and MyInvois Portals for data submission.

Note: Users are responsible for monitoring their API usage. Exceeding Zoho’s API credit or concurrent request limits may affect the Extension’s functionality. We are not liable for service disruptions or inaccuracies caused by third-party services or changes to their terms.

VI.  Support and Maintenance

VII.  License and Restrictions 

We grant you a non-exclusive, non-transferable license to use the Extension. By using the Extension, you agree not to:

  1. Reverse-engineer, modify, or decompile the Extension.
  2. Use the Extension for unlawful purposes or in violation of applicable laws.
  3. Share, distribute, or sublicense the Extension without prior written consent from Ooroboros Sdn. Bhd.

VIII.  Limitations of Liability 

  1. Data Integrity:

The Extension validates the following data fields during setup and operation to ensure proper functionality:

  • Client ID and Client Secret (generated in the MyTax portal).
  • Supplier or Buyer Details:
    • MSIC Code: Standard classification code for businesses.
    • Taxpayer Identification Number (TIN).
    • Registration Number: Includes Business Registration Number (BRN), National Registered Identity Card (NRIC), Passport Number, or Army Number.
    • Contact Information: Email, name, and phone number must be provided.
    • Address Information: Country, state, city, street address, and zip code for both shipping and billing addresses.
  • Item Details:
    • Measurement Code: Ensures compliance with invoice itemization.

Users are responsible for ensuring all other data in Zoho Books is accurate and complete before submitting it to IRBM portals using the “Push to MyInvois” feature.

  1. API Usage: 

The Extension operates within the 10,000 daily API credits and the soft limit of 10 concurrent API calls provided by Zoho Books Premium. Users must monitor their API usage and be aware that exceeding these limits may:

  • Affect the Extension’s performance.
  • Require users to upgrade or incur additional costs.
  • Compliance Assistance:

While the Extension facilitates compliance, it does not guarantee error-free reporting or successful data submission to IRBM portals. Users must independently ensure compliance with IRBM requirements.

  1. Disclaimer of Warranties:

The Extension is provided “as-is,” without warranties of any kind, including uninterrupted functionality or compatibility with future updates to Zoho Books or IRBM portals.

  1. Liability Exclusion:

Ooroboros Sdn. Bhd. is not liable for:

  • Delays, errors, or non-compliance resulting from user error or misuse.
  • Disruptions caused by changes or outages in Zoho Books, IRBM portals, or other third-party services.
  • Additional costs incurred due to exceeding API limits or changes to Zoho’s subscription plans. 

IX. Termination 

  1. Access to the Extension will be terminated if payment is not received within the 15-day grace period after subscription renewal is due.
  2. We reserve the right to terminate access without notice if users breach these Terms or misuse the Extension.

X.  Governing Law 

These Terms are governed by and construed in accordance with the laws of Malaysia. Any disputes arising under these Terms shall be resolved exclusively in Malaysian courts.
